Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the SigmaAxion platform (the “Service”) operated by the SigmaAxion team (“we,” “our,” or “us”). By accessing the Service you agree to be bound by these Terms.
1. Eligibility
The Service is provided to authorized operators of the SigmaAxion trading desk. Access is by invitation only. You must be at least 18 years of age and legally competent to enter into this agreement. By using the Service you represent that all information you provide is accurate and that you are authorized to act on behalf of any account you control.
2. Accounts and Security
You are responsible for maintaining the confidentiality of your credentials. You must enable multi-factor authentication when required by your assigned role. You must notify us immediately of any unauthorized access. We may suspend access without notice if we detect activity that we believe is unauthorized, unlawful, or that threatens the integrity of the Service.
3. Acceptable Use
- You will not attempt to reverse engineer, probe, or tamper with the Service, except as expressly permitted by applicable law.
- You will not exfiltrate data beyond the scope of your role.
- You will not use the Service to facilitate market manipulation, wash trading, or any violation of exchange, venue, or regulatory rules.
- You will comply with all applicable laws and with the rules of each venue routed through the Service.
4. Trading Activity
Trading is executed via third-party venues. You acknowledge that: (a) trading involves a high degree of risk and may result in substantial losses; (b) past performance, whether simulated or live, is not indicative of future results; (c) you retain full responsibility for the consequences of any order routed by the Service on your behalf; and (d) the Service may at any time halt, reject, or cancel orders to preserve capital or comply with risk limits.
5. Intellectual Property
All right, title, and interest in and to the Service, including software, models, data pipelines, and documentation, remain the exclusive property of SigmaAxion and its licensors. No license is granted other than the limited, non-transferable right to use the Service consistent with these Terms.
6. Confidentiality
Information accessed through the Service that is not publicly available — including strategies, parameters, order flow, risk limits, and audit logs — is confidential and must not be disclosed outside the Service without written permission.
7. Warranty Disclaimer
The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that quoted prices, fills, or analytics are accurate at any given instant.
8. Limitation of Liability
To the maximum extent permitted by law, in no event will SigmaAxion or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or trading losses, arising out of or related to the Service.
9. Indemnification
You agree to defend, indemnify, and hold harmless SigmaAxion from any claims, damages, liabilities, costs, and expenses arising from your use of the Service, your violation of these Terms, or your violation of the rights of any third party.
10. Termination
We may suspend or terminate your access at any time, with or without cause. Upon termination your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware.
12. Changes
We may update these Terms. Material changes will be communicated through the Service. Continued use after a change constitutes acceptance of the updated Terms.
